Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (the "Agreement") govern participation in the Akii Affiliate Program (the "Program") operated by Akii Technologies, Ltd ("Akii", "we", "us", "our"). By joining, you ("Affiliate", "you", "your") agree to be bound by this Agreement. If you do not agree, you may not participate.

This Agreement is governed by the laws of Dubai, United Arab Emirates, and constitutes a legally binding agreement between you and Akii Technologies, Ltd.

• Affiliate: A registered participant in the Program.
• Affiliate Code / Link: The unique tracking code or link provided to each Affiliate.
• Commissions: Earnings generated from referred customer activity.
• Stripe Connect: The third-party payment processor used to handle payouts.
• Net Revenue: Gross invoice amount less discounts, refunds, taxes, and processing fees.

• All Akii users are automatically enrolled as Affiliates.
• Participation is at-will and may be terminated by Akii at any time, with or without cause.
• You must be at least 18 years old and legally able to participate under applicable law.
• You must complete Stripe Connect onboarding to receive payouts.

4.1 Recurring Commission

Affiliates earn a flat 10% of Net Revenue from their referred customers, recurring every month for the lifetime of the referred account. There are no volume tiers and no rate changes.

4.2 Fraud & Ineligibility

• Commissions generated through fraud, self-referrals, abuse, or violation of this Agreement are void.
• Akii reserves the right to withhold or reverse commissions under review.

• Payouts are processed exclusively through Stripe Connect, in USD.
• Affiliates must maintain a valid Stripe Connect account to receive payments.
• Minimum payout threshold: $50. Balances below this amount roll forward.
• Payouts are scheduled after the refund window (typically 14 days).
• Instant payouts may be available if supported by Stripe in the Affiliate's region.
• Akii is not liable for delays, holds, or errors caused by Stripe or banks.

Compliance: Affiliates must comply with all applicable laws, including FTC guidelines for affiliate disclosures.

Prohibited Conduct:

• Spamming, misleading claims, or impersonation.
• Bidding on Akii brand terms in paid search.
• Use of unauthorized coupons.
• Fraudulent traffic or self-referrals.

Marketing Channels: You may promote Akii through websites, blogs, YouTube, and social media, provided all conduct is ethical, transparent, and compliant.

• Akii grants Affiliates a non-exclusive, revocable, limited license to use Akii's logos, links, and promotional materials solely for participation in the Program.
• Affiliates may not modify Akii's trademarks, logos, or creative assets without written permission.

• Participation is at-will. Either party may terminate immediately, with or without cause.
• Upon termination, all rights to use affiliate codes, links, or branding cease.
• Accrued commissions that have met payout thresholds will be paid, subject to fraud review.

• The Program is provided "as is" without warranties of any kind.
• Akii is not liable for indirect, incidental, or consequential damages.
• Akii's total liability for any claim shall not exceed the total commissions paid to the Affiliate in the preceding six (6) months.
• Affiliates indemnify and hold harmless Akii from any claims, damages, or liabilities arising from their participation.

• This Agreement is governed by the laws of Dubai, United Arab Emirates.
• All disputes shall be resolved by mandatory binding arbitration in Dubai, UAE, under AAA rules.
• Affiliates waive the right to participate in class actions or jury trials.

• Akii may update this Agreement at any time by posting a revised version at https://akii.com/affiliate_terms.
• Continued participation constitutes acceptance of updated terms.

By participating, you consent to receive communications, disclosures, and notices electronically.

• Severability: If any provision is held invalid, the remainder remains enforceable.
• Entire Agreement: This Agreement constitutes the entire understanding between Akii and Affiliate.
• Waiver: No failure by Akii to enforce a provision shall be deemed a waiver.
